United Plastics Group, Inc. Announces Definitive
Agreement to Acquire $250 Million Injection Molder

WESTMONT, IL July 25, 2000
United Plastics Group, Inc., a full service
manufacturer of plastic products for the electronics,
medical, consumer and industrial markets, today
announced that a definitive agreement has been
reached to acquire SPM, subject to receipt of
governmental approvals and completion of the financing.
When completed, SPM will be UPGs fifth and
largest acquisition to date. United Plastics Group
is acquiring SPM from Dynacast International Ltd.
Terms of the transaction were not disclosed.

which will give United Plastics Group a diverse
international presence and make us an even stronger
player in the injection molding industry, with
16 manufacturing sites and annualized sales of
approximately $400 million," said William
J. Kriss, President and CEO of United Plastics
Group. "We view this acquisition as a hand-in-glove
strategic fit with UPG since SPM parallels our
current business strategy with strong partnerships
in the electronics, medical, consumer and industrial
markets."
SPM, a leading injection molder of precision-engineered
plastics products, has ten manufacturing facilities
strategically located across the United States,
Mexico, Canada, and the United Kingdom. With injection
molding machines ranging from 7 to 1500 tons,
SPM has advanced process and decorating capabilities
including in-mold decorating, soft touch painting,
EMI/RFI shielding, 4-slide molding, Class 100,000
clean rooms and lens manufacture.
Commenting on UPGs acquisitions to date,
Kriss said, "We are not finished for 2000.
We plan to actively pursue acquisitions in the
medical market that will round out our offerings
and expand our capabilities to our core group
of strategic partners."
United Plastics Group most recently acquired custom
injection molder OR Plastics, Inc. on June 5,
2000, and Supreme Plastics, Inc. on June 30, 2000.
